INDEMNIFICATION OBLIGATIONS

You agree to defend, indemnify, and hold RiceTec its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Website, including, but not limited to, your Submissions, any use of the Website’s content, services, and products other than as expressly authorized in these Terms of Use, or your use of any information obtained from the Website. For any indemnified matter, RiceTec will have full control of the response thereto and the defense thereof, including, without limitation, any agreement relating to the settlement thereof, and you will cooperate with RiceTec in such matter.

DISPUTE RESOLUTION

Any dispute, claim, or controversy relating in any way to your use of the Website, or to any products or services sold or distributed by such Website, or otherwise arising out of or relating to these Terms of Use, including the alleged breach, termination, validity, interpretation and performance thereof (“Dispute”), shall be resolved with the following procedures:

1. Negotiation

Upon written notice of any Dispute, the parties shall first attempt in good faith to resolve it by negotiation. Within 15 days after delivery of the notice, the receiving party shall submit to the other a written response. The notice and response SHALL include with reasonable particularity (a) a statement of each party’s position and a summary of arguments supporting that position, and (b) the name and title of the individual who will represent that party. Within 30 days after delivery of the notice, the representatives of both parties shall meet at a mutually acceptable time and place. This process should be completed within 30 days. At no time during this process shall either party initiate an arbitration or litigation related to the Dispute.

2. Mediation

If the matter is not resolved by negotiation pursuant to this Section 1 above, the parties agree to endeavor to settle the Dispute by mediation administered by the American Arbitration Association (“AAA”) pursuant to the Commercial Arbitration Rules and Mediation Procedures before resorting to arbitration or by private mediation by consent of all parties. Either party may commence mediation by providing to AAA and the other party a written request for mediation, setting forth the subject of the dispute and the relief requested. The parties will cooperate with AAA and with one another in selecting a mediator from the AAA panel of neutrals and in scheduling the mediation proceedings. The parties agree that they will participate in the mediation in good faith and that they will share equally in its costs. At no time during this process shall either party initiate an arbitration or litigation related to the Dispute.

3. Arbitration

Any Dispute not resolved through negotiation or mediation in accordance with paragraphs 1 and 2 shall be resolved by final and binding arbitration in accordance with the AAA Commercial Arbitration Rules and Mediation Procedures. The parties waive any right to a trial by jury or to litigate any Dispute in any court. This arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1 et seq. (the “FAA”).

You agree to arbitrate all Disputes solely on an individual basis. To the maximum extent permitted by law, no Dispute shall be arbitrated or otherwise pursued as a class action, collective action, mass action, or any other representative proceeding, and the arbitrator may not consolidate the claims of more than one person or entity and may not preside over any class, collective, or representative proceeding. No party may serve as a class representative or class member, or otherwise participate in a class, collective, or representative capacity, in any Dispute. This class-action waiver applies whether the Dispute is brought in arbitration or in any other forum.
The arbitrator has the exclusive authority to resolve any dispute relating to the interpretation, applicability, scope, enforceability, or formation of this arbitration provision.

The arbitration will be held in Brazoria County, Texas using one arbitrator, unless the Dispute exceeds one million dollars (USA) in which case there shall be three neutral arbitrators, as a panel. The parties understand that arbitration is final and binding and that they are waiving their rights to other resolution processes (such as court action or administrative proceeding).

APPLICABLE LAW AND JURISDICTION

The RiceTec Website (excluding external links) is controlled by RiceTec and operated by RiceTec via third-party ISP services located in Phoenix, Arizona. Because the Website is published on the World Wide Web it is accessible in all fifty states and other countries, each of these places has laws that may differ from those of Texas or Arizona and from each other, and as you and RiceTec both benefit from establishing a predictable legal environment in which to operate, use or otherwise exploit the Website, by using the Website you and RiceTec agree that all matters arising from or relating to the use and operation of the Website will be governed by the substantive laws of Texas, without regard to its conflicts of laws principles.

Subject to the dispute resolution provision above, you agree that all claims you may have arising from or relating to the operation, use or other exploitation of the Website will be heard and resolved in the courts in Brazoria County, Texas. You consent to the personal jurisdiction of such courts over you, stipulate to the fairness and convenience of proceeding in such courts, and covenant not to assert any objection to proceeding in such courts. You waive any and all objections to the exercise of jurisdiction over you by such court and to venue in such court. If you choose to gain access to the Website from locations other than Brazoria County, Texas you will be responsible for compliance with all local laws of any such other location.

WAIVER AND SEVERABILITY

No delay or omission by RiceTec in exercising any of its rights occurring upon any noncompliance or default by you with respect to any of the terms and conditions of this Agreement will impair any such right or be construed to be a waiver thereof. No waiver by RiceTec of any term or condition in these Terms of Use is a further or continuing waiver of that term or condition or any other term or condition. If any provision is held invalid, illegal, or unenforceable, that provision will be eliminated or limited to the minimum extent necessary so the remaining provisions continue in full force and effect.

INTERPRETATION

As used in this Agreement, “including” means “including but not limited to.” The captions of this Agreement have been inserted solely for convenience of reference, in no way define or limit the scope or substance of any provision of this Agreement, and will not be considered in interpreting this Agreement.

ENTIRE AGREEMENT

These Terms of Use, together with the Privacy Policy and other terms expressly incorporated by reference, constitute the sole and entire agreement between you and RiceTec regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Website.
